1. ACCEPTANCE OF THESE TERMS
By accessing or using the website at https://sondagconsulting.com, or by engaging Sondag LLC for consulting services, you agree to be bound by these Terms of Service. If you do not agree to all of these terms, do not use the website and do not enter into an engagement with us. These terms apply to all visitors and clients. Your use of the website and any engagement with Sondag LLC constitutes your acceptance of these terms in full.
2. WHO WE ARE
Sondag LLC is a limited liability company organized under the laws of the State of New Mexico, United States. We operate under the business name Sondag Consulting. Our registered office is located at 1209 Mountain Road Pl NE, Ste R, Albuquerque, NM 87110, United States. You may contact us by email at info@sondagconsulting.com. We provide independent business consulting services focused on operations and market-entry advisory for companies and founders expanding into the United States. Our services include banking and payments readiness, supplier and client contracts, pricing strategy, US go-to-market planning, and back-office and compliance advisory. We work with clients through advisory retainers and scoped engagements, each defined in a written engagement letter.
3. USE OF THE WEBSITE
Permitted Use. You may access and use this website for lawful purposes only. You may view, download and print pages from the website for your personal, non-commercial reference. You may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer or sell any information, software or services obtained from this website without our prior written consent, except as necessary to complete a lawful transaction with us.
Prohibited Use. You agree not to use this website in any way that violates any applicable law or regulation, or that infringes the rights of others, or that restricts or inhibits anyone's use or enjoyment of the website. Prohibited conduct includes but is not limited to: harassing or causing distress or inconvenience to any person; transmitting obscene or offensive content; disrupting the normal flow of dialogue within our website; attempting to gain unauthorized access to our systems; or using the website for any commercial purpose other than engaging with us for our consulting services. You agree not to use automated tools, bots, scrapers or similar devices to access or collect data from this website without our written permission. You agree not to reverse-engineer, decompile or attempt to discover the source code or underlying technology of the website.
4. SERVICES, ENGAGEMENTS AND SCOPE
Sondag LLC provides independent business consulting services only. All consulting work is defined, scoped and governed by a written engagement letter signed by both you and Sondag LLC before work begins. No service, engagement, pricing, timeline, deliverable or outcome is created, offered or implied by this website, by email communication, or by any conversation with our team. Nothing on this website constitutes an offer to enter into an engagement, a quote, a contract, or a binding commitment of any kind. Any engagement with Sondag LLC is formed only when both parties have executed a written engagement letter that sets out the scope of work, fees, payment terms, timeline and all material terms. Our consulting services are advisory in nature and are limited to the scope defined in the engagement letter. We do not provide legal services, tax services, accounting services, immigration services, investment advice, or financial advice. If you require services in any of those areas, you must engage qualified professionals licensed in those fields. We do not guarantee any outcome, approval, banking relationship, contract, funding, regulatory clearance or result of any kind. Our role is to provide business advisory guidance based on our experience and analysis. All decisions and actions remain your responsibility.
5. FEES, INVOICING AND PAYMENT
Fees for consulting services are quoted on a per-engagement basis and are set out in the engagement letter. No fees or pricing are published on this website. Fees may be structured as a fixed retainer, a fixed project fee, a per-milestone fee, or a time-and-materials arrangement, as agreed in the engagement letter. Invoices are issued according to the payment schedule set out in the engagement letter. Invoices may be issued in advance of work, upon completion of milestones, or upon completion of the engagement, as specified in the engagement letter. Payment is due on the date specified in the invoice. If payment is not received by the due date, Sondag LLC may, at its sole discretion, suspend work on the engagement, terminate the engagement, or pursue collection action. Late payment may result in the accrual of interest at the maximum rate permitted by the laws of the State of New Mexico. Sondag LLC reserves the right to require payment in advance before commencing or continuing work.
6. CANCELLATION AND REFUNDS
Either party may terminate an engagement by providing written notice to the other party as set out in the engagement letter. The engagement letter will specify the notice period required for termination. Upon termination, you remain responsible for payment of all fees for work performed up to the date of termination, including any work in progress. Fees for work already performed are not refundable. If an engagement is terminated by you before completion, you must pay all invoiced fees that are due and owing. If work has been performed but not yet invoiced, Sondag LLC will invoice you for that work, and payment will be due according to the terms of the engagement letter. Sondag LLC may terminate an engagement immediately if you breach a material term of the engagement letter, fail to pay invoices when due, or engage in conduct that Sondag LLC reasonably believes is unlawful or unethical. Upon termination by Sondag LLC for cause, you remain responsible for all fees for work performed. Refunds are not available for advisory services already rendered, for time spent, for analysis completed, or for any deliverables provided. If you dispute an invoice, you must notify Sondag LLC in writing within thirty days of the invoice date. Disputes must be resolved through the dispute resolution process set out in the engagement letter, or through the courts of New Mexico if no such process is specified.
7. CLIENT RESPONSIBILITIES
You are responsible for providing Sondag LLC with accurate, complete and timely information necessary to perform the consulting services. You are responsible for making all business decisions and for taking all actions required to implement any recommendations or guidance provided by Sondag LLC. You are responsible for obtaining all necessary approvals, consents and authorizations from your board, shareholders, partners, lenders or other stakeholders before acting on any advice from Sondag LLC. You are responsible for complying with all applicable laws, regulations and contractual obligations in your jurisdiction and in any jurisdiction where you conduct business. You must engage your own qualified legal counsel, tax advisors and accounting professionals to review any recommendations from Sondag LLC and to advise you on legal, tax and accounting implications. Sondag LLC does not provide legal, tax or accounting advice, and you must not rely on our consulting services as a substitute for advice from licensed professionals in those fields. You are responsible for the security of any confidential information you share with Sondag LLC and for ensuring that you have the right to disclose that information to us. You are responsible for maintaining adequate records and documentation of all business decisions and actions taken based on our advice.
8. INTELLECTUAL PROPERTY
All intellectual property rights in the website, including but not limited to text, graphics, logos, images, software, code and design, are owned by Sondag LLC or are licensed to Sondag LLC by third parties. You may not reproduce, distribute, modify, create derivative works from or otherwise use any intellectual property on this website without our prior written consent. Any work product, analysis, recommendations, reports or other deliverables created by Sondag LLC specifically for you as part of an engagement are owned by Sondag LLC unless the engagement letter specifies otherwise. You may use such work product for the purposes set out in the engagement letter. You may not sell, license, distribute or otherwise transfer work product to third parties without our written consent, except as necessary to implement the recommendations with your own advisors and service providers under appropriate confidentiality obligations. Any pre-existing materials, methodologies, frameworks, templates or tools used by Sondag LLC remain our property and may be used by us in other engagements. You grant Sondag LLC a non-exclusive, royalty-free license to use any feedback, suggestions or ideas you provide to us in connection with our services, for any purpose.
9. CONFIDENTIALITY
Sondag LLC will maintain the confidentiality of any non-public information you provide to us in connection with an engagement, except as required by law, court order or regulatory authority. You agree that any information you provide to Sondag LLC is confidential and proprietary to you, and you authorize us to use that information solely for the purpose of providing the consulting services under the engagement letter. You agree not to disclose the terms of your engagement with Sondag LLC, including fees, scope and timeline, without our prior written consent, except as required by law or as necessary to comply with your own regulatory or reporting obligations. You are responsible for marking any information you provide as confidential if you wish it to be treated as such. Sondag LLC will use reasonable efforts to protect confidential information, but we cannot guarantee absolute security. Information you provide through the contact form on this website is transmitted over the internet and may be intercepted. You assume all risk associated with transmission of information through the website. Sondag LLC may disclose your information if required to do so by law, court order, subpoena, regulatory authority or government agency. Sondag LLC will provide you with notice of any such legal demand to the extent permitted by law. Sondag LLC may also disclose information if necessary to enforce these terms or to protect the rights, property or safety of Sondag LLC, our clients or the public. The confidentiality obligations in this section survive termination of any engagement for a period of three years, except for information that becomes publicly available through no breach of these terms.
10. DISCLAIMER - NO PROFESSIONAL ADVICE
Sondag LLC provides business consulting and advisory services only. Our services are not legal advice, tax advice, accounting advice, immigration advice, investment advice or financial advice. You must not rely on any communication from Sondag LLC as a substitute for advice from a qualified attorney, tax professional, accountant, immigration specialist, investment advisor or financial advisor licensed in your jurisdiction. Sondag LLC does not guarantee any outcome, result, approval, banking relationship, contract, funding, regulatory clearance, business success or financial return. Business outcomes depend on many factors beyond our control, including market conditions, regulatory changes, your execution, your team, your resources and external events. We provide analysis and recommendations based on information available at the time and on our experience, but we cannot predict future events or guarantee results. You are solely responsible for all business decisions and for the consequences of those decisions. You must conduct your own due diligence and obtain independent professional advice before taking any action based on our consulting services. No statement or recommendation from Sondag LLC should be construed as a guarantee, warranty or promise of any kind. We do not warrant that our advice will be accurate, complete, timely or suitable for your specific circumstances. You use our services at your own risk.
11. LIMITATION OF LIABILITY
To the maximum extent permitted by the laws of the State of New Mexico, Sondag LLC's total liability to you for any claim arising out of or related to an engagement, these terms, or the website shall not exceed the total fees paid by you to Sondag LLC for the engagement giving rise to the claim in the twelve months immediately preceding the claim. This cap applies to all claims, whether based on contract, tort, negligence, strict liability, breach of warranty or any other legal theory. In no event shall Sondag LLC be liable for any indirect, incidental, consequential, special or punitive damages, including but not limited to lost profits, lost revenue, lost business opportunity, lost data or loss of goodwill, even if Sondag LLC has been advised of the possibility of such damages. This exclusion applies to the maximum extent permitted by law. If any limitation of liability in this section is found to be unenforceable, the remaining limitations shall remain in effect. Some jurisdictions do not permit the exclusion or limitation of certain damages, so some of the limitations in this section may not apply to you. In such cases, liability shall be limited to the maximum extent permitted by applicable law.
12. INDEMNITY
You agree to indemnify, defend and hold harmless Sondag LLC and its officers, members, employees and agents from and against any and all claims, damages, losses, costs and expenses, including reasonable attorneys' fees, arising out of or related to: your use of the website; your engagement with Sondag LLC; any breach of these terms by you; any violation of applicable law by you; any infringement of third-party rights arising from your use of our services or implementation of our recommendations; any information or materials you provide to us that infringe third-party rights; or any action or decision you take based on our consulting services. This indemnity obligation applies regardless of whether the claim is based on contract, tort, negligence, strict liability or any other legal theory. You agree to defend Sondag LLC against any claim at your expense and to settle any claim only with our prior written consent. This indemnity obligation survives termination of any engagement.
13. FORCE MAJEURE
Sondag LLC shall not be liable for any failure or delay in performing its obligations under an engagement if such failure or delay is caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemic, government action, internet outages, power failures or other events of force majeure. If a force majeure event prevents Sondag LLC from performing services for more than thirty days, either party may terminate the engagement upon written notice. Upon such termination, you shall pay Sondag LLC for all work performed up to the date of termination.
14. CHANGES TO THESE TERMS
Sondag LLC may modify these Terms of Service at any time by posting the revised terms on this website. Your continued use of the website or engagement with Sondag LLC after such changes constitutes your acceptance of the revised terms. We will make reasonable efforts to notify you of material changes by email if you have provided an email address through the contact form. If you do not agree to the revised terms, you must stop using the website and must not enter into new engagements with Sondag LLC. Existing engagements are governed by the terms in effect at the time the engagement letter was executed, unless the engagement letter specifies otherwise.
15. GOVERNING LAW AND VENUE
These Terms of Service and all engagements with Sondag LLC shall be governed by and construed in accordance with the laws of the State of New Mexico, United States, without regard to its conflict of law principles. You agree that any legal action or proceeding arising out of or related to these terms or an engagement shall be brought exclusively in the state or federal courts located in New Mexico. You consent to the jurisdiction and venue of such courts and waive any objection based on inconvenient forum or lack of personal jurisdiction. You agree that you will not bring any claim against Sondag LLC more than one year after the cause of action arises.
